2. Purpose and Scope
These Terms of Service govern the access and use of the website and the contracting of services provided by Autikon, specifically:
AI Voice Agent Implementation (Setup).
AI Chatbot Development.
Custom Workflow Automation.
Monthly Maintenance and Technical Support.
By accessing this website or hiring our services, you agree to be bound by these terms.
3. Description of Services & "Fair Use" Policy
Autikon provides AI-driven solutions. Our services are divided into:
Setup Fee: A one-time payment for the design, psychological mapping, and technical deployment of the AI agent.
Monthly Maintenance: A recurring fee for hosting, API management, and updates.
Fair Use of AI Resources: Our maintenance fees include a standard volume of API usage (Tokens and Minutes). In the event of extraordinary traffic or usage that exceeds the agreed-upon limits, Autikon reserves the right to bill the excess at cost or adjust the monthly fee accordingly, with prior notice to the client.
4. Payments and Billing
Setup Fees: Must be paid 100% upfront before work begins, unless otherwise agreed in writing. Setup fees are non-refundable once the "Psychological Mapping" or technical development has started.
Recurring Fees: Payments are due at the beginning of each billing cycle. Failure to pay within 5 days of the due date will result in the temporary suspension of the AI services.
Taxes: All prices are subject to applicable taxes (VAT/IVA) depending on the client’s location.
5. Limitation of Liability (AI Performance)
Autikon uses state-of-the-art Large Language Models (LLMs). However, the Client acknowledges and accepts that:
AI Accuracy: AI agents may occasionally provide inaccurate information ("hallucinations"). Autikon is not liable for specific errors in AI responses but will work to optimize prompts to minimize these occurrences.
Service Continuity: Our services depend on third-party providers (OpenAI, Retell AI, Make.com, etc.). Autikon is not responsible for service interruptions caused by these third parties.
Business Outcomes: While our systems are designed to increase conversion, Autikon does not guarantee specific financial results or a fixed number of sales.
6. Intellectual Property
Autikon Property: Autikon retains all rights to the proprietary "Alex" architecture, psychological frameworks, and custom prompt engineering structures developed during the project.
Client Property: The Client owns the specific data provided to the AI and the intellectual property of their own business content.
License: Upon full payment, the Client is granted a non-exclusive, non-transferable license to use the developed AI system for their business operations.
7. Data Protection
The processing of personal data is governed by our Privacy Policy, in compliance with the GDPR. Autikon acts as a "Data Processor" for the leads captured by the AI agents on behalf of the Client ("Data Controller").
8. Term and Termination
Cancellations: The Client may cancel the monthly maintenance service with 15 days' notice before the next billing cycle.
Termination for Cause: Autikon reserves the right to terminate the service if the Client uses the AI for illegal, unethical, or spam-related purposes.
9. Governing Law and Jurisdiction
These terms shall be governed by and construed in accordance with the laws of Spain. Any disputes arising from these terms shall be subject to the exclusive jurisdiction of the courts of Barcelona, Spain.
